All prices are in EUR, excluding VAT. No VAT is charged to non-Czech EU clients who provide a valid VAT ID.


I. INTRODUCTORY PROVISIONS

1.1 These General Terms and Conditions of Service (hereinafter "Terms") govern the contractual relationship between Travel Communications s.r.o., operating under the brand VOXtours.cz (hereinafter "Provider"), and the customer (hereinafter "Client") who uses the Tour Guide System equipment rental service.

1.2 By submitting an order — by e-mail, web form, or any other agreed means — the Client confirms that they have read and agree to these Terms. These Terms form an integral part of every service agreement concluded between the parties.

1.3 An individually signed written contract takes precedence over these Terms in case of conflict. These Terms apply to all orders placed on or after the date of their entry into force.


II. SCOPE OF SERVICE

2.1 The Provider makes available to the Client, for temporary use, a set of Tour Guide System telecommunications equipment comprising portable transmitters with microphones, portable receivers with earphones, and accessories (hereinafter "Equipment"). The exact quantity and specifications are stated in the order confirmation or handover protocol.

2.2 The Equipment is intended exclusively for use by a tour guide and participants of group tours and excursions: the guide operates the transmitter, and each participant receives a receiver with an earphone. Any other use requires the prior written consent of the Provider.

2.3 The rental price includes spare receivers (up to 3 units per group), spare earphones (up to 10 units per group), and spare batteries for the entire tour — all at no additional charge.


III. ORDERING AND CONTRACT FORMATION

3.1 Orders may be placed by e-mail to welcome@voxtours.cz, via the web form at www.voxtours.cz, or by any other agreed means. Each order must include: the date and location of the tour, the required number of receivers, and the name and phone number of the guide or tour leader.

3.2 The contract is formed at the moment the Provider confirms the order in writing (by e-mail). For individually signed written contracts, the contract is formed upon signature by both parties.

3.3 Mandatory order lead times by tour location are set out in the current Price List available at www.voxtours.cz. An order placed after the applicable deadline is binding, but the Provider does not guarantee timely and complete delivery of Equipment.

3.4 The Client must provide the Provider with the name and contact details of an authorised representative (guide or tour leader) for each specific tour. The Provider is entitled to refuse orders from persons not authorised by the Client.


IV. HANDOVER AND RETURN OF EQUIPMENT

4.1 Before each dispatch, the Provider verifies the technical condition and completeness of the Equipment. The Equipment is handed over to the Client or their authorised representative at the agreed location and time in a condition suitable for proper use.

4.2 At the time of handover, the Client (or their representative) confirms receipt by signing the handover protocol, which serves as the basis for invoicing. Refusal to sign the protocol does not release the Client from the obligation to pay for services actually rendered.

4.3 Delivery of Equipment outside Prague is subject to a surcharge per the Price List and requires compliance with the applicable order lead time.

4.4 Upon expiry of the rental period, the Client or their representative must return the Equipment to the Provider at the agreed location. The return location must be communicated to the Provider no later than 60 minutes before the scheduled end of the tour. For multi-day tours, the Client must hand over all Equipment to the Provider's courier or deliver it to the Provider's operations address.

4.5 The Provider will verify the completeness and condition of returned Equipment at its premises, normally within 2 working days of receipt. The Client will be notified of any deficiencies or missing items promptly and no later than 2 working days after receipt.


V. CLIENT OBLIGATIONS

5.1 The Client undertakes to use the Equipment exclusively for the purpose stated in Section II and in accordance with the Provider's instructions. The Client must protect the Equipment from loss, damage, theft, and adverse environmental conditions (moisture, impact, aggressive chemicals, etc.).

5.2 The Client must not sub-let or otherwise make the Equipment available to third parties, except to direct users within the group tour as described in Section II.

5.3 The Client must not modify, repair, or otherwise interfere with the Equipment without the Provider's consent. In the event of a technical fault, the Client must immediately contact the Provider and describe the symptoms. Any unauthorised interference renders the Client fully liable for any resulting damage.

5.4 Upon discovering any loss or damage to the Equipment, the Client must notify the Provider without undue delay and provide all reasonable assistance. The Provider will grant the Client 10 working days to locate and return any missing Equipment before asserting a compensation claim.

5.5 The Client must ensure that all Equipment containing batteries is carried exclusively as hand luggage during air travel, in compliance with IATA regulations and applicable aviation rules.


VI. CANCELLATION POLICY

6.1 A confirmed order may be cancelled without charge subject to the following deadlines:

— Prague: at least 24 hours before tour departure
— Czech Republic, outside Prague: at least 72 hours before tour departure
— EU, outside Czech Republic: at least 5 working days before tour departure

6.2 If the cancellation deadline is not met, or if the guide refuses the Equipment on-site or the group does not appear, the full order amount will be charged.


VII. PRICING AND PAYMENT

7.1 Rental prices are governed by the Provider's Price List in force on the date the order is placed, available at www.voxtours.cz. The Provider may amend the Price List unilaterally; any amendment takes effect no earlier than 14 days after notice to the Client. Orders placed before the effective date of an amended Price List are governed by the previous Price List.

7.2 Invoices are payable within 14 days of the date of delivery to the Client, unless otherwise agreed in writing. Delivery is deemed to occur on the day the invoice is sent by e-mail to the Client's contact address.

7.3 In the event of late payment, the Provider is entitled to charge statutory default interest pursuant to Section 1970 of the Czech Civil Code (Czech National Bank repo rate + 8 percentage points p.a.).

7.4 For new clients or for orders significantly exceeding the established volume, the Provider may require an advance payment of up to 100% of the estimated order value.

7.5 Payment is accepted by bank transfer or in cash. Credit and debit card payments are not accepted. All prices are quoted excluding VAT; the applicable VAT rate is added in accordance with applicable law. No VAT is charged to non-Czech EU clients who provide a valid VAT ID.


VIII. LIABILITY FOR LOSS AND DAMAGE

8.1 The Client assumes full liability for the Equipment from the moment of handover until its return to the Provider. The Client is liable for loss, theft, destruction, or damage caused by themselves, their employees, representatives, or persons to whom the Equipment was entrusted.

8.2 For loss or irreparable damage to the Equipment, the Client shall pay the Provider a one-off compensation:

— 1 receiver: EUR 40.00 excl. VAT
— 1 transmitter: EUR 80.00 excl. VAT
— 1 reusable headset (if ordered): EUR 3.20 excl. VAT

8.3 For repairable damage (mechanical faults caused by negligent or improper use), the Client is liable for the demonstrable cost of repair. The Provider will notify the Client of the extent and cost promptly upon discovery.

8.4 The Provider's total contractual liability to the Client is limited to the value of the specific order within which the damage occurred. The Provider is not liable for indirect or consequential losses (lost profit, third-party contractual penalties, etc.).


IX. DATA PROTECTION

9.1 The Provider processes personal data of the Client (natural person) and their contact persons as data controller within the meaning of Regulation (EU) 2016/679 (GDPR). Processing is carried out for the purpose of contract performance (Art. 6(1)(b) GDPR), compliance with legal obligations (Art. 6(1)(c)), and the Provider's legitimate interests — customer records management (Art. 6(1)(f)).

9.2 Personal data are not shared with third parties, except as required by law or with contracted processors (courier services) under Article 28 GDPR. Data subjects have the right to access, rectification, erasure, restriction of processing, and data portability, as well as the right to lodge a complaint with the relevant supervisory authority.

X. FORCE MAJEURE

10.1 Neither party shall be liable for failure to perform its obligations where such failure is caused by force majeure — extraordinary and unforeseeable events entirely beyond the affected party's control, including natural disasters, armed conflicts, terrorist attacks, government measures, pandemics, or infrastructure failures caused by third parties.

10.2 The party invoking force majeure must notify the other party within 3 working days of the event. If the force majeure condition persists for more than 30 days, either party may withdraw from the agreement without any liability for damages.


XI. FINAL PROVISIONS

11.1 These Terms are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, as amended.

11.2 All disputes shall first be resolved amicably. If no agreement is reached within 30 days of a written claim, the competent court shall be the court of general jurisdiction of the Provider (District Court for Prague 5 or the Prague Municipal Court, depending on the amount in dispute).

11.3 The Provider may update these Terms unilaterally. The current version is always published at www.voxtours.cz. Orders placed before the effective date of any update are governed by the Terms in force on the date the order was placed.

11.4 If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain in full force. The parties undertake to replace any invalid provision with a valid one that most closely reflects the original intent.
